Enforceability is entirely a question of what the parties intended. Evidence of what the parties intended can be found (a) in the terms of the written agreement, (b) in the fact that the parties entered into the written agreement, and (c) elsewhere, e.g., the parties' testimony and other written elements of the side agreement.
