Restatement § 201(2) has two subsections. We consider § 201(2)(b) first.
Under § 201(2)(b), where the parties attach different meanings to a term, the court interprets the term in accord with the meaning attached by one of the parties if:
that party did not have reason know of that the other party attached a different meaning, and
the other party did have reason to know of the different meaning attached by the first party.
