The rule applies only if neither party has fully performed. When the Restatement talks about "modifying" a contract, it is thinking of changes in a contract where both parties still have obligations under the contract.
The "neither party has fully performed" rule is certainly not beyond criticism, as we noted in the last tutorial, but that does not change the fact that is the law.
